1. Introduction & Agreement

1.1. These Terms of Service (“Agreement”) govern the WordPress support services (“Services”) provided by Wolf IQ Pty Ltd (ABN 36 169 796 221), hereafter referred to as “WP Copilot,” “we,” “us,” or “our.” The client engaging our services is referred to as “you” or “your.”

1.2. By subscribing to our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. This Agreement is formed when you sign up for our Services and make the first payment.

1.3. We reserve the right to modify this Agreement at any time. We will provide you with at least 30 days’ notice of any changes via email. Your continued use of the Services after this notice period will constitute your acceptance of the revised terms.

2. Service Scope

2.1. Included Services: The WP Copilot subscription provides you with access to our team for an unlimited number of small, 30-minute WordPress support tasks, completed one at a time. These tasks are limited to existing functionality and styling and include, but are not limited to:

- Content updates (text, images, and videos).

- Plugin and theme updates and configuration.

- CSS adjustments.

- General WordPress troubleshooting and bug fixes.

2.2. Excluded Services: This Service does not include:

- Custom development (PHP, plugins, themes, etc.).

- Graphic design or creation of any new content.

- SEO or marketing services.

- Website hosting or server management.

- Any task estimated to take longer than 30 minutes to complete.

2.3. Service Hours: Our official support hours are 9:00 AM to 5:00 PM AEST, Monday to Friday. Support requests can be submitted at any time but will only be addressed during these hours.

3. Subscription, Payments, and Refunds

3.1. Monthly Subscription: The Service is provided on a monthly subscription basis. The current subscription fee is listed on our website and is charged in advance for each month of service.

3.2. Payment: Payments are processed automatically via our chosen payment gateway. It is your responsibility to ensure your payment information is up-to-date.

3.3. Cancellation: You may cancel your subscription at any time. Upon cancellation, your service will remain active until the end of the current paid billing cycle. No pro-rata refunds will be issued for partial months.

3.4. 30-Day Money-Back Guarantee: We offer a 30-day money-back guarantee for new customers. If you are not satisfied with the Service for any reason within the first 30 days of your initial subscription, you may request a full refund of your first month’s fee.

4. Client Responsibilities

4.1. Access: You must provide us with the necessary access to your WordPress website and hosting environment to perform the Services. You agree to grant us access as a user with administrator-level privileges.

4.2. Backups: While we take all reasonable care, you are responsible for maintaining regular backups of your website. We are not liable for any loss of data.

4.3. Content: You are solely responsible for all content on your website and must ensure it does not infringe on any copyright, trademark, or other intellectual property rights. You agree to indemnify us against any claims arising from your content.

5. Intellectual Property

5.1. Any custom code or content we create for you as part of the Service will be your property upon full payment for the relevant service period. We retain the right to use any of our pre-existing code or tools.

6. Confidentiality

6.1. We will treat all information you provide as confidential. We will not disclose your confidential information to any third party without your prior written consent, except as required by law.

7. Warranties and Disclaimers

7.1. We will perform the Services with due care and skill. However, we do not warrant that the Services will be error-free or that they will fix all issues with your website.

7.2. We are not responsible for any issues that arise from third-party plugins, themes, or your hosting environment.

8. Limitation of Liability

8.1. To the maximum extent permitted by Australian Consumer Law, our total liability for any claim arising out of this Agreement or the Services is limited to the total amount of fees paid by you to us in the 12 months preceding the claim.

8.2. We are not liable for any indirect or consequential loss, including but not limited to loss of profits, revenue, or data, or for any damage to your search engine rankings.

9. Termination

9.1. We may terminate this Agreement and your access to the Services immediately if you breach any material term of this Agreement.

9.2. Upon termination, we will remove our access to your website, and you will be responsible for any outstanding fees.

10. Non-Solicitation

10.1. During this Agreement and for 12 months after its termination, you agree not to solicit or hire any of our employees or contractors who have been involved in providing the Services to you.

11. Dispute Resolution

11.1. If a dispute arises out of this Agreement, the parties agree to first attempt to resolve it through direct negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation in Sydney, Australia.

12. General Provisions

12.1. Governing Law: This Agreement is governed by the laws of New South Wales, Australia.

12.2. Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.3. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.
